California Founding Program Agreement

This California Founding Program Agreement ("Agreement") is entered into between Listing Amplified ("Company") and you, the individual agent or professional member ("Founding Member") who joins the Platform during active California launch enrollment. By participating in the California Founding Program, you agree to the terms below.

1. California Founding Program

Listing Amplified is expanding across California market by market. During active launch enrollment, qualifying agents may be recognized as Founding Members who help shape the platform, provide product feedback, and participate in an early professional community.

2. Founding Member Benefits

As a Founding Member, you may receive exclusive benefits, including:

• Founder Pricing: Access to founder pricing on qualifying Platform subscriptions.
• Priority Access: Priority access to new platform features and improvements.
• Founder Recognition: Recognition within the Platform as an early community contributor.
• Higher Platform Limits: Higher platform limits as new AI features become available.
• Feedback Opportunities: Ability to submit direct feedback to help shape the Platform's development.

Founding Member benefits are personal, non-transferable, and subject to change or discontinuation at the Company's discretion with reasonable notice.

3. Founder Pricing

Founder pricing is available to qualifying agents who join during active California launch enrollment. Eligibility, applicable subscriptions, and pricing tiers are communicated at registration or in the Platform.

• Founder pricing applies to your account only and cannot be transferred.
• Founder pricing applies to qualifying subscriptions while your account remains active and in good standing.
• If your account is cancelled or suspended, founder pricing may not be reinstated upon re-registration.
• The Company reserves the right to adjust founder pricing with reasonable written notice.

4. Feedback & Confidentiality

You agree to:

• Provide honest, constructive feedback on your experience using the Platform.
• Keep non-public information about the Platform's features, roadmap, and operations confidential.
• Not publicly disclose member-only features or pricing without prior written consent from the Company.

Any feedback you submit to the Company may be used to improve the Platform without obligation or compensation.

5. Platform Development & No Warranties

The Platform is under active development and may change as Listing Amplified continues expanding across California. Features may be updated, added, removed, or temporarily unavailable as the Platform evolves.

• The Platform may contain errors or incomplete features.
• The Platform may experience downtime, data loss, or interruptions.
• The Platform is provided "as is" without any warranty, express or implied.

The Company is not liable for any damages arising from your use of the Platform, including loss of data, business interruption, or missed opportunities.

6. Compliance with Laws

Founding Members agree to comply with all applicable laws, including California real estate regulations, MLS rules, fair housing laws, and social media advertising requirements. The Company does not supervise or guarantee compliance with any brokerage, MLS, or regulatory requirements and is not responsible for regulatory violations by users.

7. Participation

Either party may end participation in the California Founding Program at any time. The Company reserves the right to remove a Founding Member from the program for violation of this Agreement, the Terms & Conditions, or any applicable law. Upon removal:

• Access to the Platform may cease or change.
• Founding Member benefits, including founder pricing, may no longer apply.
• Any outstanding obligations, such as active paid subscriptions, will be managed per the standard Terms & Conditions.

8. Relationship of the Parties

This Agreement does not create an employment, partnership, or agency relationship between you and Listing Amplified. You are an independent professional using the Platform for your own business purposes.

9. Amendments

The Company may amend this Agreement at any time by posting an updated version on the Platform. Continued participation in the California Founding Program after changes are posted constitutes acceptance of the amended Agreement.

10. Governing Law

This Agreement is governed by the laws of the State of California. Any disputes arising under this Agreement shall be resolved in California courts.

11. Entire Agreement

This Agreement, together with the Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and Listing Amplified regarding your participation in the California Founding Program.
